Private Equity & Venture Capital.
We have many years of experience in private equity and venture capital transactions and know the decisive players and their needs: funds, family offices, investment clubs and business angels.
Our advice comprises all types of investments, in particular, buy-out and buy-in transactions (MBO/LBO and MBI/LBI), minority participations, mezzanine participation types, management participations, return investments and employee participations. Due to our experience in M&A transactions, we also have extensive experience in the preparation of legal due diligence reports, shareholders’ agreements as well as participation and syndicate agreements.
We support measures at portfolio companies to increase the value of their enterprises including add-on acquisitions and sales, post-acquisition restructuring measures or crisis-related restructuring measures. We furthermore provide support in equity syndications, refinancing and recapitalizations. In addition, we have experience in financing documents and thus are prepared to carry out complex exits successfully.
We have relevant industry knowledge that is underpinned by focus on small and mid-cap transactions and our network in the German mid-market. We are familiar with the often regulated markets in which young growing companies and startups are active. Due to our own development, we are able to put ourselves in the position of founders of start-ups and offer them a sound assessment of the regulatory framework conditions.
We are also driven by economic considerations in our advice and drafting of contracts. We value the avoidance of disputes and reaching amicable agreements, though if necessary, we represent our clients’ claims in court or arbitration proceedings.
